In case of dispute over this agreement,Taiwanese law shall be the governing law, andthe regional court of Party A shall be thecourt of jurisdiction in the first instance.

This Agreement shall be construed and governed by the law of Taiwan. All actions and proceedings arisingout of or relating to this Agreement shall be brought and heard in Taiwan Taipei District court.
